This module aims to provide students with an understanding of the securities regulations and the regulatory framework of the securities markets in Hong Kong. Issues to be examined include the roles and duties of regulatory bodies, listing rules, takeovers and mergers, market misconduct etc. Course materials and in-class discussion of these issues provide students with a legal and regulatory insight into the securities industry in Hong Kong. For the same purpose a number of ordinances are introduced, including Securities and Futures Ordinance, Hong Kong Code on Takeovers and Mergers, Hong Kong Code on Share Repurchases etc.
Upon completion of this module, students should be able to:

  1. understand the scope and the regulatory framework of the securities markets and their participants in Hong Kong;

  2. identify and evaluate the roles, duties and responsibilities of regulatory bodies which include the Companies Registry, Hong Kong Stock Exchange, the Securities and Futures Commission and the Market Misconduct Tribunal;

  3. identify and evaluate the role of directors and company officers in protecting the interests of the members, investors and creditors of companies; and

  4. evaluate the effectiveness of statutory and non-statutory regulations in protecting the interests of the investing public, members and creditors of both listed and unlisted companies in Hong Kong.
