Module Description
This module aims to provide students with the knowledge about the core responsibilities of a company secretary. These essential knowledge and skills are required in taking overall responsibility of the corporate secretarial functions. The practice of corporate secretaryship in this module extends to both the strategic and functional contexts, in advising the Board, leading teams in secretarial best practices, ensuring compliance with laws and regulations, and establishing efficient internal communication of the Board’s decisions and external reporting.
Learning Outcomes
Upon completion of this module, students should be able to:

  1. appreciate the scope, roles and functions of a company secretary and apply the secretaryship function in upholding the corporate governance system of Hong Kong corporations;

  2. interpret and apply the relevant laws, regulations and best practices relating to board and general meetings;

  3. advise the board of directors in relation to current corporate governance issues and ensure that the company complies with the relevant laws and regulations in accounting and financial matters; and

  4. deal with company documentations and relevant public authorities as well as board administration.
